Acceptance of Terms

By accessing, browsing, or using any service, platform, application, or website operated by WOW Digital IT, you confirm that you have read, understood, and agreed to be bound by these Terms of Service ("Terms") and all applicable laws and regulations.

If you are accepting these Terms on behalf of an organization, you warrant that you have full authority to bind that organization. If you do not agree to any part of these Terms, you must immediately cease using our services.

These Terms take effect from the date of your first access to our services. We recommend reviewing them periodically as they may be updated. Continued use after updates constitutes acceptance of the amended Terms.

Description of Service

WOW Digital IT provides a comprehensive range of technology services designed to accelerate digital transformation for enterprises in Saudi Arabia and the region. Our offerings include but are not limited to:

1. Research & Development: Innovation labs, custom technology prototyping, and strategic digital roadmapping.
2. System, Application & Web Development: Enterprise software, mobile applications, web platforms, and custom solutions.
3. AI & Digital Transformation: AI integration, automation, and data-driven transformation programs.
4. Integration Solutions: ERP/CRM system integration, API management, and enterprise system connectivity.
5. IT Consulting: IT strategy, architecture review, and digital advisory services.
6. Smart IT Maintenance: Managed IT services, help desk support, and proactive system monitoring.

The scope, features, and availability of services may change at any time. We reserve the right to modify, suspend, or discontinue any service with reasonable advance notice.

User Responsibilities

As a user of our services, you agree to:

1. Provide accurate, current, and complete information when registering, requesting services, or communicating with us.
2. Maintain the confidentiality of your account credentials and promptly notify us of any unauthorized access or security breach.
3. Use our services for lawful purposes only and comply with applicable Saudi laws, regulations, and international standards.
4. Respect the intellectual property rights of WOW Digital IT and all third parties.
5. Not attempt to reverse-engineer, disassemble, or extract source code from our software or services by any means.
6. Not use our services to distribute harmful, abusive, defamatory, or illegal content.
7. Cooperate in good faith with our team during service delivery and provide access, information, and approvals in a timely manner.
8. Regularly update your account information and contact details.

You are responsible for all activities conducted through your account and for ensuring that anyone accessing our services through your account complies with these Terms.

Intellectual Property

All intellectual property rights in our services, platforms, software, content, trademarks, logos, designs, and documentation are owned by or licensed to WOW Digital IT. These rights are protected under Saudi intellectual property laws and internationally.

1. Our Intellectual Property: You may not copy, reproduce, distribute, modify, or create derivative works from our proprietary materials without prior written consent.
2. Your Intellectual Property: You retain ownership of any content or data you provide to us. By submitting content, you grant us a limited license to use it solely to deliver the services you have requested.
3. Deliverables: Ownership of custom-developed deliverables is subject to the service agreement between you and us. Unless otherwise agreed in writing, deliverables become your property upon full payment.
4. Feedback: Any suggestions, ideas, or comments you provide about our services may be used by us without restriction or compensation.

The WOWIT name, logo, and all related brand assets are registered trademarks of WOW Digital IT. Unauthorized use is strictly prohibited.

Prohibited Uses

You agree not to use our services in any way that:

1. Violates any applicable local, national, or international law, regulation, or government directive.
2. Infringes on the rights of any third party, including intellectual property, privacy, and contractual rights.
3. Involves sending unsolicited messages (spam) or unauthorized automated data collection.
4. Attempts to gain unauthorized access to our systems, networks, servers, or databases.
5. Introduces malicious code, viruses, trojans, or any other harmful software.
6. Interferes with or disrupts the integrity, performance, or security of our services.
7. Impersonates any person or entity or misrepresents your affiliation with any organization.
8. Facilitates any illegal activity, including fraud, money laundering, or terrorist financing.
9. Resells or redistributes our services without explicit written authorization from us.

Violations of these restrictions may result in immediate suspension of your access, reporting to relevant authorities, and legal action.

Limitation of Liability

To the maximum extent permitted by applicable law, WOW Digital IT, its directors, officers, employees, partners, and suppliers shall not be liable for:

1. Any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use our services.
2. Loss of profits, revenue, data, business opportunities, or goodwill, even if we have been advised of the possibility of such damages.
3. Service interruptions, errors, or delays caused by circumstances beyond our reasonable control, including force majeure events or third-party failures.
4. Any acts or omissions of third-party service providers integrated into our platforms.
5. Unauthorized access to or modification of your data resulting from circumstances beyond our reasonable control.

Our total cumulative liability for any claims under these Terms shall not exceed the amount you have paid to WOW Digital IT in the twelve (12) months preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such cases, our liability will be limited to the maximum extent permitted by applicable law.

Termination

Either party may terminate the service relationship under the following circumstances:

1. By You: You may stop using our services at any time by providing written notice as specified in your service agreement. Fees paid are non-refundable unless your agreement states otherwise.
2. By Us — For Cause: We may suspend or terminate your access immediately if you breach these Terms, engage in fraudulent activity, violate applicable law, or pose a security risk.
3. By Us — Without Cause: We may terminate or suspend services with thirty (30) days' written notice for reasons unrelated to your breach of these Terms.
4. Effect of Termination: Upon termination, your right to access and use our services ceases immediately. Provisions that by their nature should survive termination will continue in effect.

We will make reasonable efforts to allow you to export your data within 30 days following termination, after which your data may be permanently deleted from our systems.

Changes to Terms

WOW Digital IT reserves the right to modify these Terms at any time. We are committed to transparent communication regarding any significant changes:

1. Notice: We will notify you of material changes via email, platform notification, or prominent notice on our website at least 14 days before the changes take effect.
2. Review Period: You will have the opportunity to review the updated Terms before they become binding upon your continued use of the services.
3. Acceptance: Continued use of our services after the updated Terms' effective date constitutes acceptance of those changes.
4. Objection: If you do not agree to the updated Terms, you must stop using our services and may terminate your agreement as outlined in the Termination section.

We maintain a record of previous versions of these Terms, available upon request. The "last updated" date at the top of this page indicates the publication date of the current version.
